Notary Engagement Terms of Ordering


Whereas, the State of Louisiana follows the Civil Law tradition concerning the laws and responsibilities for its Notaries Public; Whereas, the State of Louisiana Attorney General's Opinion 95-478 expresses that the office of Notary Public does not require an Occupational License because a Notary is a Public Official (La. R.S. 35:1); Whereas, under Louisiana State Law, those appointed to the Office of Notary Public has certain duties, responsibilities, and obligations to the general public; Whereas, Lighthouse Notary Services, A Professional Notary Corporation is a professional firm of Notaries engaged in performing functions in the Civil Law Heritage of the Office of Notary Public; BE IT AGREED, that any and all persons requesting a Notary Public Engagement from Lighthouse Notary Services, A Professional Notary Corporation do so under the following terms and conditions:


  1. “Booking”: To request and reserve a Notary Public Engagement.
  2. “Notary”: One who is Commissioned by the Governor of the State of Louisiana as a Notary Public pursuant to La. R.S. Title 35, et. al.
  3. “Notary Public Engagement”, (“Engagement”): The arrangement of a Commissioned Notary to meet with signers of particular instrument(s); for the Notary to perform his/her Commissioned duties as provided by law concerning the instrument that the signers intend to execute.
  4. “Signer”: The person or entity executing the instrument.
  5. "Client": The person who arranges a Notary Engagement with Lighthouse Notary Services, APNC.
  6. "Lighthouse": Lighthouse Notary Services, A Professional Notary Corporation
  1. Client may book an Engagement by calling Lighthouse's number at 504.298.DOCS or any auxiliary number anytime during office hours.
  2. Client shall determine the initial time, date, and place of the Engagement. Such time and place shall be disclosed either verbally or via e-mail within 30 minutes of Booking the Engagement. Lighthouse shall only accept such, it the time and date is avaiable on Lighthouse's work calendar.
  3. The Signer and Lighthouse may adjust the time, date, and place of the Engagement to accommodate the Signer.
  4. Upon Lighthouse dispatching the Notary to, and the Notary's arrival at the agreed place and time for the Engagement, Lighthouse's fee for the Engagement is fully earned and non refundable.
  5. Split signings. From time to time, more than one Signer may be needed to execute the instrument and the other Signer may be in a different location. The Engagement fee shall be per Signer and per location. ( Example: Signer A at place A and Signer B at place B. If Notary is booked to go to both locations, such Engagement shall earn two Engagement fees).
  6. Multiple Notaries. In the event that multiple Notaries are needed for multiple transactions; Lighthouse's fee is fully earned upon its Lighthouse being dispatched to its Engagement at the specific place with the specific Signer Lighthouse is to engage.
  1. Lighthouse shall have no duty to Client concerning the fitness and particular use of any documents that Client creates. Nevertheless, Lighthouse will not execute and pass any documents that obiviously is misrepresented or fraud.
  2. Client agrees that an “Error” shall be defined as an unintentional deviation of a Federal or State law. An “Omission” shall be defined as the unintentional neglect or leaving out something required; both terms being defined in this manner when related to the execution of the Engagement by the Notary.
    • (a) Client agrees that Errors and Omissions shall in NO MANNER include custom requests by Client or any other interested or uninterested third party, not upheld by the Notary in completing the Engagement.
    • (b) The lack of the Notary obtaining a copy of a Signer's identification card shall NOT constitute an “error” or “omission”.
    • Instruction sheets and other documents contained within the documents for the Signer to execute shall not override or supersede these Terms of Ordering.
  1. Client may cancel an Engagement up to twenty-four hour before the requested time with no cost assessed. If canceled within the last twenty-four hours before the Engagement, Client shall be responsible for any of the following:
    • (a) for the cost of printing documents, if applicable;
    • (b) for the full Engagement fee if the Notary was dispatched and arrived to the agreed place to meet the Signers;
    • (c) for the travel expense if the Notary was in route to the Signers but had yet arrived;
  1. Documents executed by the Signers shall be deemed delivered to Client when deposited with a common carrier such as Federal Express (FedEx), United Parcel Service (UPS), or the United States Postal Service (USPS).
  2. In the event of the destruction of the documents while in possession of the common carrier, Lighthouse may, at its discretion, and when available, provide Client with True Certified Copies as authorized by La. R.S. 35:2.
    • (a) Should Client wish for documents to be resigned, a new Notary Engagement must be done at Client's expense.
      • (1) Notary shall not notarize any reprints of the destroyed documents that may be backdated to appear as if they are the originals of the destroyed documents. This is prohibited by law.
      • (2) Client agrees to use the methods provided under Louisiana State law that handles cases of lost and destroyed documents.
  1. Lighthouse is a professional firm of Civil Law Notaries Public who operate out of the Civil Law heritage of the peoples of the State of Louisiana. The services that Lighthouse provides are available to all persons and are NOT exclusive to Client.
    • (a) Nothing within this Agreement shall restrict Lighthouse from providing its services to any other person, juridical or natural.
  1. Engagements ordered by Client shall be specific and only for one purpose.
  1. Payment for all services are DUE AT THE TIME RENDERED. Client may receive a grace period, at Lighthouse's discretion, as authorized by the Treasurer of Lighthouse.
  1. Client shall compensate Lighthouse for services rendered based on the agreed amount at the time of booking.
  1. Client hereby agrees to indemnify and hold harmless Lighthouse from any and all claims of any type resulting directly or indirectly from any any negligent or unintentional act or omission by Client.
  2. Default by Client. Acts of GOD shall not be considered a default of this Agreement. The following actions committed by Client shall constitute an instance of default under this Agreement:
    • (a) Client fails to pay the compensation.
    • (b) Client, with the terms of this Agreement, fails to comply in full.
  3. In the event of default by either Client or Lighthouse, each party may seek the following remedies:               
    • Legal Action. Each party, ten (10) days after mailing the other party a notice of default, may seek legal action to:
      • (a) Terminate this Agreement.
      • (b) Seek damages.
      • (c) Enforce performance.
      • (d) Exercise rights.
  4. No Independent Contractor or Employee Status. Following the Civil Law Notary Public heritage, Lighthouse is neither an employee or a independent contractor of Client. Lighthouse is a firm of Civil Law Notaries Public who are Public Officials in the State of Louisiana and are Commissioned to perform certain duties as mandated by law. Nothing contained in this Agreement will be construed to constitute or create a partnership, joint venture, employment or agency relationship of any kind.
  5. No Third Party Beneficiaries. No third party has nor will have any direct, indirect, or beneficial rights in connection with this Agreement.
  6. No failure or delay on the part of either party to this Agreement in the exercise of any right, power, remedy, the party may have will operate as a waiver, nor will any single or partial exercise of any right, power or remedy by either party preclude any other or further exercise of that right, power or remedy or the exercise of any other right, power or remedy. No express waiver or assent by any party to any breach or default in any term or condition of this contract will constitute a waiver of or assent to any succeeding breach of or default in the same or any other term or conditions of this contract.
  7. The headings set out in this Agreement are for convenience of reference only and will not be deemed a part of this contract and will not affect the meaning or construction of any of the provisions of this contract.
  8. Entire Agreement. This Agreement supersedes all prior discussions and Agreements between the parties with respect to its subject matter and this Agreement, together with any attachments or exhibits, contains the sole and entire Agreement between the parties with respect to the matters covered by this Agreement. Except as otherwise provided in this Agreement, this Agreement will not be modified or amended except by an instrument in writing signed by the parties. A vaild confirmation for a Notary Enagement will be an exhibit to this agreement. A valid confirmation shall be any confirmation accepted by and justifiably relied upon by Lighthouse.
  9. Survival of Warranties, Representations, and Indemnifications. The warranties, representations, and indemnifications in this Agreement will survive the execution of this Agreement and continue without limitation.
  10. . This Agreement will be construed without regard to which party was responsible for its preparation.
  11.  Agreement Non-Assignable. This Agreement may not be assigned to any third party by any of the parties.
  12. . This Agreement may be modified only in writing, signed by both parties
    • (a) If any provision of this Agreement is deemed invalid due to any law and is unenforceable, such shall be a line item deletion from this Agreement and shall not affect the enforceability of the remaining provisions.
  13. Legal Matters. This contract will be governed and interpreted by the laws of the State of Louisiana, without reference to its principle of conflicts of law.
  14. Venue for the purposes of any litigation will lie solely in Jefferson Parish, Louisiana or the United Stated District Court in and for the Eastern District of Louisiana. The costs of litigation (including attorneys fees, court costs and the costs of paralegal and other legal and investigative support personnel) will be born by the non-prevailing party. A party awarded less than fifty percent (50%) of its claim will be deemed a non-prevailing party.
